This seminar will provide practical advice for contract negotiations and process focusing on
- Streamlining the Sales Contracts Process: Practical strategies to reduce cycle time and friction and how to calibrate review based on deal risk and business priorities.
- Contract Playbooks & Market Standards: How to create and implement contract playbooks with approved language and fallback positions, and a discussion of market-standard terms, including indemnities (IP-only vs broader), limitations of liability (caps, exclusions, supercaps), and other commonly negotiated provisions.
- Risk-Based Negotiation & Drafting Approach: Guidance on which provisions are worth fighting over, how to determine risk levels in the business, and a step-by-step view of the drafting and negotiation process from an outside counsel perspective, including common pressure points and key issues to flag early.
